We may revise and update these Terms of Use from time to time in our sole discretion. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Access to the Website is permitted on a temporary basis, and we reserve the right to withdraw or amend any service we provide on the Website in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. Intellectual Property Rights

The entire contents of the Website (including all information, software, text, displays, images, video and audio) and the design, selection and arrangement thereof, are owned by the Company or its licensors and are protected by United States and international laws regarding copyrights, trademarks, trade secrets and other intellectual property or proprietary rights. You are permitted to use the Website for your personal, non-commercial use only or legitimate business purposes related to your role as a current or prospective customer or supplier of the Company. You must not copy, modify, create derivative works of, publicly display or perform, republish, download or store, or transmit any of the material on our site without the prior written consent of the Company, except to:

  • Store copies of such materials temporarily in RAM or as are automatically cached by your Web browser for display enhancement purposes.
  • Print a reasonable number of pages of the Website for a permitted use.

Company Trademarks

The Company name, the terms “Surveying + Aerial Mapping + Engineering,” the Company logo and all related names, logos, product and service names, designs and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company.  All other names, brands and marks are used for identification purposes only and are the trademarks of their respective owners.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

  • In any way that violates any applicable federal, state, local and international law or regulation.
  • To send, knowingly receive, upload, download, use or re-use any material which does not comply with the Content Standards set out in these Terms of Use.
  • To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter” or “spam” or any other similar solicitation.

User Contributions

The Website may contain interactive features (“Interactive Services”) that allow you to post, submit, publish, display or transmit (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Website, to other Users and/or to the Company.  All User Contributions must comply with the Content Standards set out in these Terms of Use.  Any User Contribution you post on or through the Website site will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such material for any purpose.  You represent and warrant that you own or control all rights in and to the User Contributions and have the right to grant the Company and its affiliates the license granted above.  You represent and warrant that all of your User Contributions do and will comply with these Terms of Use, and you agree to defend, indemnify and hold harmless the Company and its affiliates and licensors for any breach of that representation and warranty.  You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have fully responsibility for such content, including its legality, reliability, accuracy and appropriateness.  Any content and/or opinions uploaded, expressed or submitted to, on or through the Website, are solely the opinions and the responsibility of the person or entity submitting them and do not necessarily reflect the opinion of the Company. We are not responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of the Website.

Monitoring and Enforcement; Termination

We have the right to:

  • Remove or refuse to post any User Contributions for any reason in our sole discretion.
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right, threatens the personal safety of users of the Website and the public or could create liability for the Company.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting any materials on or through the Website. Governing Law and Jurisdiction

These Terms of Use and any dispute or claim arising out of, or related to, them, their subject matter or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision or rule (whether of the State of Texas or any other jurisdiction).

Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas in each case located in the City of Austin and County of Travis although we retain the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You agree to waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Waiver and Severability

No waiver of these Terms of Use by the Company shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.  If any provision of these Terms of Use is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

The Terms of Use constitute the sole and entire agreement between you and Surveying And Mapping, LLC with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.

OTHER POLICIES

Pay Transparency Policy Statement

SAM, LLC will not discharge or in any other manner discriminate against employees or applicants because they have inquired about, discussed, or disclosed their own pay or the pay of another employee or applicant. However, employees who have access to the compensation information of other employees or applicants as a part of their essential job functions cannot disclose the pay of other employees or applicants to individuals who do not otherwise have access to compensation information, unless the disclosure is (a) in response to a formal complaint or charge, (b) in furtherance of an investigation, proceeding, hearing, or action, including an investigation conducted by the employer, or (c) consistent with the contractor’s legal duty to furnish information.

Unlawful Harassment, Discrimination and Reporting Procedure

The Company is committed to providing a work environment that is free from all forms of discrimination and conduct that can be considered harassing, coercive, or disruptive, including sexual harassment. Actions, words, jokes or comments based on an individual’s sex, race, color, national origin, age, religion, disability, sexual orientation, genetic information, gender identity, veteran status or any other legally protected characteristic will not be tolerated. The following is a partial list of harassment examples:

Employees who believe they have experienced or witnessed sexual or other unlawful harassment or discrimination in the workplace must report it immediately to a supervisor. If the supervisor is unavailable or it would be inappropriate to contact that supervisor, employees must immediately contact the Director of Human Resources or a member of management. Any supervisor or manager who becomes aware of possible unlawful harassment or discrimination must immediately advise the Director of Human Resources. Retaliation for reporting allegedly harassing or discriminatory conduct or other suspected violations of this policy, or for participating in an investigation of such a complaint, is prohibited.

The Company is committed to ensuring that all complaints are promptly and thoroughly investigated and that corrective action is taken as appropriate. Information learned during the investigation will be handled as confidentially as possible. All employees are expected to fully cooperate with the investigation process. Failure to cooperate or provide truthful and complete information during the investigation or found to engage in conduct prohibited by this policy, or to have filed a false report or knowingly made a false accusation under this policy may be subject to disciplinary action up to and including termination of employment.

Policy Statement On Nondiscrimination

It is the policy of SAM Parent LLC and its Subsidiaries, including but not limited to Surveying And Mapping, LLC, SAM-Construction Services, LLC and SAM-NY, Inc. (collectively the “SAM Companies”) to comply with the regulations of Title VI of the Civil Rights Act of 1964, as amended, and other nondiscrimination laws and authorities, that include regulations relative to nondiscrimination in federally-assisted programs of the Department of Transportation (DOT) Title 49, Code of  Federal Regulations (CFR) and the Federal Highway Administration’s Title 23 Code of  Federal Regulations 200 (collectively, the “Regulations”).   The SAM Companies will not participate, either directly or indirectly, in the discrimination prohibited by the Regulations. The SAM Companies will not discriminate against any person on the ground of race, color or  national origin.

In addition to Title VI, the SAM Companies will not discriminate under other nondiscrimination statutes which also afford legal protection on the basis of sex, age or disability.  Moreover, the SAM Companies will not discriminate in the selection or retention of subconsultants, including procurements of materials and leases of equipment.  The SAM Companies will not participate either directly or indirectly in the discrimination prohibited by 49 CFR, Part 21.5.

The SAM Companies will continue to seek avenues for minority business enterprises capable of meeting or exceeding our quality, integrity and performance requirements to be afforded opportunities to perform services for or provide supplies to the SAM Companies.

In all solicitations, either competitive bidding or negotiation, made by the SAM Companies for work to be performed under a subcontract, including procurement of materials, services or equipment, each potential supplier, vendor, independent contractor and subconsultant shall be notified of the contractor’s obligations under the contract and the Regulations relative to nondiscrimination on the ground of race, color or national origin. The SAM Companies will include the necessary nondiscrimination provisions in every subcontract, including procurement of materials and services and in the lease of equipment, unless exempt by the Regulations, or directives issued pursuant thereto.
